Terms & software license

These terms describe the general conditions for accessing, purchasing and using POS4U ERP, including 1 Year, 2 Years and Lifetime commercial software licenses.

1. Agreement

These Terms and Commercial Software License Terms ("Terms") govern the use of POS4U ERP and related software, documentation and services supplied by MAK4U Technologies.

By purchasing, activating, installing or using POS4U ERP, the customer agrees to the applicable purchase offer, invoice, license terms and these Terms.

Where a separately signed agreement, quotation, order or commercial offer contains different terms, that agreement may take precedence for the matters it specifically covers.

2. POS4U ERP

POS4U ERP is professional business management software that may include capabilities relating to:

  • point of sale and billing
  • sales and sales returns
  • purchasing and purchase returns
  • products, inventory and warehouses
  • stock transfers and adjustments
  • customers, suppliers and CRM
  • orders and operational documents
  • accounting workflows
  • reports and business information
  • imports and exports
  • printing and document generation
  • offline-first and Company Server/LAN deployment workflows
  • other capabilities included with the licensed edition

Available functionality can vary by version, edition, platform, deployment, configuration and separately purchased features or services.

3. License grant

Subject to payment and continued compliance with the applicable license terms, MAK4U Technologies grants the customer a limited commercial right to install and use the purchased POS4U ERP edition for the customer's own authorized business operations.

POS4U ERP is licensed, not sold as source code or transferred as intellectual property.

License ownership

Purchasing a POS4U ERP license does not transfer ownership of the software, source code, product design, trademarks or other intellectual property belonging to MAK4U Technologies.

4. Devices and installations

POS4U ERP commercial licenses may be associated with an approved device, installation, business or defined number of systems.

Licensing may use a device-derived fingerprint or other installation information to identify an authorized system.

A license issued for one device, installation or defined deployment does not automatically authorize installation on additional systems.

Businesses requiring additional terminals, computers, branches, server deployments or installations should obtain the appropriate additional licensing or deployment arrangement.

Hardware replacement

If a licensed computer is replaced, substantially modified, lost, damaged or becomes permanently unusable, license migration or replacement may require validation by MAK4U Technologies.

Approval is subject to the applicable license arrangement and reasonable verification that the previous installation is no longer being used contrary to its license.

5. License restrictions

Except where expressly authorized by MAK4U Technologies or required by applicable law, the customer must not:

  • copy or distribute POS4U ERP for use by unlicensed businesses or devices;
  • share, publish, sell or distribute license files, activation credentials or authorization material;
  • resell or sublicense the software as though the customer were the software owner;
  • bypass, disable or deliberately interfere with licensing or access-control mechanisms;
  • use a license issued to another business or unauthorized installation;
  • remove proprietary notices or intentionally misrepresent the origin of the software;
  • reproduce or redistribute substantial portions of the product as a competing software product;
  • reverse engineer or attempt to obtain proprietary source code except to the extent such restriction is prohibited by applicable law.

6. 1 Year and 2 Years licenses

POS4U ERP fixed-term licenses permit use of the purchased software edition for the applicable paid license period and licensed deployment scope, subject to these Terms and the customer's purchase agreement.

1 Year license

A 1 Year license provides a 12-month commercial software license. The applicable price depends on the licensed device deployment tier stated in the customer's quotation, invoice or purchase agreement.

2 Years license

A 2 Years license provides a 24-month commercial software license. The applicable price depends on the licensed device deployment tier stated in the customer's quotation, invoice or purchase agreement.

Under the current Saudi introductory price schedule, each 2 Years option has a lower effective annual software-license cost than purchasing two separate 1 Year licenses at the same deployment tier.

License period and expiry

The applicable license period begins according to the activation, delivery or commencement terms stated in the customer's quotation, invoice, purchase offer or agreement.

Fixed-term license rights may expire when the applicable paid license period ends unless the license is renewed, replaced with another available license or otherwise extended under an agreed commercial arrangement.

Expiry of a software license does not transfer ownership of customer-created business data to MAK4U Technologies.

7. Lifetime software license

A POS4U ERP Lifetime Software License is a one-time software license providing permanent software-use rights for the specific purchased POS4U ERP edition and the exact authorized business, installation or deployment scope, subject to these Terms and the applicable purchase agreement.

Permanent software-use rights for purchased scope

Future changes to POS4U ERP public list prices do not alter the software-use rights already purchased under an existing Lifetime license for its original licensed scope.

What Lifetime means

"Lifetime" refers to the permanent software-use license right described above. It does not mean unlimited free support, unlimited future development, or automatic entitlement to every future version, module, product or service created by MAK4U Technologies.

Unless expressly stated in the applicable purchase agreement, quotation, invoice or license policy, a Lifetime Software License does not automatically include:

  • unlimited or permanent technical support
  • unlimited future software updates
  • all future major-version upgrades
  • future cloud or hosted services
  • future AI or connected services
  • new separately sold product editions
  • premium modules sold separately
  • additional computers, terminals or devices beyond the licensed scope
  • additional branches, companies or deployment scope
  • additional server or LAN deployment work
  • data migration services
  • custom software development or customization
  • custom integrations
  • training or onsite services
  • third-party paid services
  • other products developed by MAK4U Technologies

Support, updates, major-version upgrades, server deployment, additional devices or branches, data migration, customization, integrations and training are governed separately by the customer's purchase terms, license policy or service arrangement.

8. Pricing, quotations and payment

The current Saudi introductory POS4U ERP Enterprise software license pricing is:

  • 1–2 devices — 1 Year SAR 2,500; 2 Years SAR 4,250; Lifetime SAR 6,500
  • 3–5 devices — 1 Year SAR 3,500; 2 Years SAR 6,000; Lifetime SAR 8,500
  • 6–9 devices — 1 Year SAR 4,500; 2 Years SAR 7,750; Lifetime SAR 10,500
  • 10+ devices — 1 Year SAR 5,000; 2 Years SAR 8,500; Lifetime SAR 12,500
  • Large, multi-branch or complex deployments — Custom Quote

These prices are introductory / market-entry prices for the current Saudi commercial stage. MAK4U Technologies may revise future list prices for new purchases and additional scope as the product, service infrastructure and market presence grow, and to reflect inflation or other commercial factors.

A future list-price change does not itself change the price or software-use rights already agreed for a completed purchase. New licenses, additional devices, branches or companies, major upgrades, professional services and other added scope may be charged at the applicable price when ordered.

Software-license pricing does not automatically include every implementation or professional service. Data migration, customization, integrations, onsite deployment, extended training, additional infrastructure work and other separately scoped services may be quoted separately.

Before purchase, the applicable quotation, offer or invoice should identify the commercial arrangement being purchased, including relevant pricing, duration, licensed deployment scope, support or update entitlement where applicable, and other licensing conditions.

Additional taxes, statutory charges, payment fees or other amounts may apply where required and should be reflected in the applicable quotation or invoice.

International pricing may differ based on country, currency, deployment requirements and commercial scope.

Payment

A commercial license may require payment before activation or delivery unless MAK4U Technologies has agreed to different payment terms in writing.

9. Software delivery and activation

POS4U ERP may be supplied using a software installer, application package, license file, activation process or another approved delivery method.

Delivery may require information needed to prepare the authorized license, such as:

  • business or customer identification
  • license type
  • authorized device information
  • device fingerprint where applicable
  • license period or validity information where applicable

Customers should use only installation and licensing material obtained through authorized MAK4U Technologies channels.

10. Software updates and upgrades

Updates may include bug fixes, security improvements, compatibility changes, user-interface improvements, performance improvements and product enhancements.

Access to updates and upgrades depends on the applicable license policy, purchase terms and software version.

  • 1 Year and 2 Years license customers may receive updates according to the update entitlement applicable to their active license period and purchase terms.
  • Lifetime Software License customers receive updates or upgrades only to the extent specified by their applicable purchase terms, license policy or separate service arrangement.

A software license does not automatically guarantee access to every future major version, separately sold edition, module, hosted service or product enhancement.

Where an included update or upgrade entitlement ends, the installed licensed edition may remain usable where permitted by its license, but entitlement to newly released versions or upgrades is not automatically guaranteed.

11. Support and additional services

Support availability, duration and scope depend on the applicable license policy, quotation, invoice, purchase agreement or separate service arrangement.

Where included, standard support may provide reasonable assistance with product installation, licensing, product usage and supported technical issues.

Standard software licensing does not automatically include:

  • unlimited or permanent technical support
  • custom software development
  • customization
  • custom integrations
  • large-scale or specialized data migration
  • additional server deployment work
  • additional PCs, terminals or devices beyond the licensed scope
  • onsite technical services
  • training unless specifically included
  • hardware repair
  • third-party software support
  • accounting or tax consultancy
  • legal or regulatory consultancy
  • services expressly sold separately

Enhanced, custom, extended or ongoing service arrangements may be subject to separate pricing and terms.

12. Customer business data

Business information entered into POS4U ERP remains the customer's business information. Purchasing a POS4U license does not transfer ownership of customer-created business records to MAK4U Technologies.

The customer is responsible for ensuring that information entered, imported, stored or processed using POS4U ERP is used lawfully and appropriately.

The current POS4U ERP architecture is offline-first and supports local business data storage and processing. Deployment arrangements may also include Company Server/LAN operation for authorized systems within the customer's business environment.

13. Backups and business continuity

The customer is responsible for maintaining appropriate backups of important business information.

Customers should maintain backups in locations appropriate to their risk, security and business-continuity requirements.

A backup should not be considered reliable solely because it exists. Businesses should periodically confirm that their backup and recovery procedures are appropriate for their operations.

Exported databases, spreadsheets, PDFs, reports and other files should be protected against unauthorized access, loss and accidental deletion.

14. Accounting, taxation and regulatory responsibilities

POS4U ERP provides software features intended to assist business operations. It does not replace the customer's accountant, tax adviser, legal adviser or regulatory obligations.

POS4U ERP includes configurable business and document workflows and features designed with regional and international business requirements in mind.

References to Saudi VAT-oriented or ZATCA-oriented workflows describe product functionality, development direction and design intent. They should not be interpreted as a certification that every POS4U ERP version, configuration, transaction or customer deployment automatically satisfies every Saudi VAT, ZATCA or other regulatory requirement.

Availability of specific tax-related capabilities, including Company VAT Number fields, Customer VAT Number fields and presentation of customer VAT information on applicable invoices, may depend on the POS4U ERP version and release status. Customers should confirm that the required functionality is available in their installed version before relying on it for a particular regulatory or invoicing requirement.

Customer responsibility

Customers remain responsible for configuring and using POS4U ERP appropriately for their country, business, accounting practices, tax requirements and other legal obligations.

15. Availability and third-party dependencies

POS4U ERP is designed around offline-first operations, but some optional workflows, external services, integrations or future functionality may depend on internet access, operating systems, third-party platforms or other services.

MAK4U Technologies does not control the availability, policies, pricing or technical behavior of independent third-party services.

Third-party changes may occasionally require POS4U updates or may affect functionality involving those services.

16. Software expectations and warranty

MAK4U Technologies aims to provide dependable, professionally developed business software.

Software can nevertheless contain defects, encounter unexpected device or operating-system conditions, or behave differently depending on customer configuration and third-party environments.

Except for warranties or rights that cannot legally be excluded, specific warranty obligations are those expressly stated in the applicable purchase agreement or required by applicable law.

17. Limitation of responsibility

To the extent permitted by applicable law, MAK4U Technologies is not responsible for losses caused by circumstances outside reasonable control, including:

  • customer hardware failure
  • operating-system corruption or failure
  • malware or unauthorized device access
  • failure to maintain appropriate backups
  • customer configuration errors
  • unauthorized modification of software or data
  • third-party software or service failures
  • improper use of exported data
  • incorrect business, accounting, tax or VAT information entered by users

Nothing in these Terms excludes rights or responsibilities that cannot lawfully be excluded or limited.

18. Refunds, cancellations and disputes

Refund, cancellation and withdrawal rights may depend on the type of transaction, whether software or licensing has already been delivered or activated, the applicable purchase terms, and rights provided by applicable law.

Any customer-specific refund or cancellation arrangement should therefore be confirmed in the applicable quotation, invoice, order or purchase agreement.

These Terms do not remove consumer or customer rights that cannot legally be waived.

19. Suspension or termination

MAK4U Technologies may take reasonable licensing action where a license is materially misused, unlawfully copied, fraudulently obtained or used contrary to the commercial license granted.

Where appropriate, MAK4U Technologies may first request correction of the licensing issue before taking further action.

License enforcement does not grant MAK4U Technologies ownership of the customer's underlying business records.

20. Intellectual property

POS4U ERP, its software, product identity, interface, documentation and associated original materials are intellectual property of MAK4U Technologies or their respective rights holders where third-party material is used.

"POS4U", "POS4U ERP", "MAK4U" and related branding may not be used in a way that falsely represents another product, business or service as being produced, endorsed or authorized by MAK4U Technologies.

21. Future cloud, AI and connected services

POS4U ERP may evolve to include additional connected services such as cloud synchronization, multi-branch services, hosted infrastructure, AI functionality or other online capabilities.

Such services may be offered under separate service plans, commercial terms or pricing.

Existing POS4U ERP licenses do not automatically include future separately sold services unless expressly stated.

22. Changes to these Terms

These Terms may be updated as POS4U ERP, commercial offerings and legal requirements evolve.

The latest published version will show its update date. Where changes materially affect an existing contractual arrangement, applicable law and the customer's purchase agreement will determine how those changes apply.

23. Applicable agreement and law

The laws, jurisdiction and dispute terms applicable to a particular transaction may depend on the customer location, seller entity and commercial agreement.

Any governing-law or jurisdiction provision contained in a signed customer agreement or accepted commercial order should apply according to its terms, subject to mandatory rights under applicable law.

A quotation, invoice, purchase offer or signed agreement may contain customer-specific pricing, device allowances, implementation scope, update entitlements, support terms, training, migration, customization or other conditions. Customers should retain those documents together with these Terms.
